Standard Coaching Agreement - Service Terms and Conditions
The International Coach Federation (ICF) definition and philosophy of coaching: “Professional coaching is an ongoing professional relationship that helps people produce extraordinary results in their lives, careers, businesses, or organizations. Through the coaching process, clients deepen their learning, improve their performance, and enhance their overall quality of life. In each meeting, the Client chooses the focus of the conversation while the coach listens and contributes observations and questions. This interaction creates clarity and moves the Client into action. Coaching accelerates the Client’s progress by providing greater focus and awareness of choice. Coaching focuses on where clients are now and what they are willing to do to achieve their desired future goals. ICF member coaches and ICF credentialed coaches recognize that results are a matter of the Client’s intentions, choices, and actions, supported by the coach’s efforts and application of the coaching process.”
Service Terms
- As a corporation, organization, group, sponsor, or coachee client (herein referred to as I), I understand and agree that I am fully responsible for my physical, mental, and emotional well-being during my coaching calls, including my choices and decisions. I know that I can choose to discontinue coaching at any time, provided I give notice.
- I understand that “coaching” is a Professional‐Client relationship the coachee has with their coach. It is designed to facilitate the creation/ development/ transition of personal, professional, or business goals and to develop and carry out a strategy/ plan for achieving those goals or outcomes.
- Coaching is a comprehensive process involving all areas of my life, including work, finances, health, relationships, education, and I acknowledge that deciding how to handle these issues, incorporating coaching into those areas, and implementing my choices are exclusively my responsibility.
- I understand that coaching does not involve the diagnosis or treatment of mental disorders as defined by the American Psychiatric I know that coaching is not a substitute for counseling, psychotherapy, psychoanalysis, mental health care, or substance abuse treatment, and I will not use it in place of any form of diagnosis, treatment, or therapy.

The coach may record calls exclusively for training, certification, or quality control purposes. Likewise, the coach’s materials, theories, concepts, models, approaches, and any other ideas/ conversations are legally protected and not to be distributed or shared in any form or medium.
- I understand that coaching should not be used as a substitute for legal, medical, financial, business, spiritual, or other qualified professional advice.
If necessary, I will seek independent professional guidance for such matters. I understand that all decisions in these areas are exclusively mine, and I acknowledge that my decisions and actions are the Client’s sole responsibility. The Client understands the Coach is not an employment agent, financial analyst, accountant, lawyer, psychotherapist, or business manager. Coach has not promised, shall not be obligated to, and will not 1) procure or attempt to procure employment, business, or sales for the Client; 2) perform accounting services, tax advising, or investment counseling; or 3) act as a therapist, providing psychological counseling, psychoanalysis or behavioral therapy. If any additional services, such as assessment, resume writing, marketing, advertising, design, employability, mentoring, legal, branding, training the trainer/coach, or other professional services, become necessary, they will be arranged and billed separately.
- The coach will be making requests of You may say yes, decline, or counteroffer. During the process, challenging or thought-provoking questions or actions may arise. If the coach does or says anything that upsets you or doesn’t feel right, bring it to the coach’s attention first, as the aim is to make the coaching experience right for you.
Policies: I may call the coach at a pre‐scheduled time. If you need to reschedule your appointment, please notify us at least 24 hours in advance of your scheduled time. No refunds are issued, including if session(s) are not made up within a week. If you arrive late to a session but within 10 minutes of the start time, the session will proceed and finish at the planned time. If you enter 10 minutes after the scheduled start time or for a missed session, it will be considered as having occurred and will not accumulate or roll over. One month of notice is required before discontinuing the contract. There is a thirty-five-dollar fee for any returned check or payment. Other services, such as assessments, research, writing, public relations, and media, are additional and incur a 30% governance fee. To ensure that each person can fully concentrate on the call, both agree to limit external distractions and noise during the call. A teleconference call-in number will be provided; however, long-distance charges, internet costs, and other related expenses are the responsibility of each party. The on-site coach’s travel time is billed at half rate. Errors and omission insurance (if required), as well as all bank/ processing fees, travel, lodging, entertainment, etc., expenses, are the Client’s responsibility. Note: Third-party and travel expenses, services, and materials are billed separately.
Confidentiality: All information (documented or verbal) that the Client conveys to their coach is confidential and is not shared with unauthorized parties. The Client permits a professional trade organization or other professional Review Committee to receive client contact information required to substantiate documents sent for supervision or credentialing review. The coach recognizes that the Client may have plans, business dealings, and other proprietary information. This confidentiality statement shall be as confidential as the applicable state or U.S. federal laws, and the Client’s company policy (if applicable) allows. The coaching relationship is not privileged, and, as such, a coach’s records of a client can be subpoenaed. Client understands that Coach’s processes and program materials are trade secrets and agrees NOT to disclose, or use said information with any third party or use/ post said information for its own purposes or business other than per the conditions of this agreement. The Client permits a professional review committee to receive the Client's contact information, as required to substantiate documents sent for credential review. The Coach’s materials, etc., are protected by international and U.S. copyright law and cannot be copied or distributed in any form or by any means. The Client understands that statement(s)/ testimonials/ media made on behalf of the Coach may be used to publicize and promote services or products. The Client grants Coach or its representatives the right to use the Client's name, photograph, brief biographical information, and testimonial in various marketing initiatives. The Client understands that this information may be used in various media, including publicity, illustration, advertising, stories, and Internet content, as well as for return on investment purposes. The Client authorizes the Coach to copyright, use, and publish these materials in print and electronic formats. In addition, the Client waives any right to inspect or approve the finished product, including any likeness or testimony, that appears in it. The Client agrees not to make any monetary or other claim against the Coach or their organization for using the Client’s information and testimonial.
Disclaimer of Liability: The Client now engages the Coach for the purpose of coaching, consulting, or training for the Client’s self‐awareness, vision, and goals, strategic plans, and action steps in personal, career, life, academic, management, leadership, executive, organizational, competency, or business situations. The Client understands that the coach is not a work recruiter or headhunter and will not provide any job leads, employment, or media. Clients enter coaching with the understanding that they are responsible for creating their own goals, making their own choices, and achieving their results. The Client is the sole decision‐maker in the coaching process. Any actions or consequences resulting from the coaching session are the Client’s responsibility. The contractual agreement constitutes the entire agreement between the Client, the organization, and the Coach shall not be held liable and shall remain blameless for any adverse or other consequences, including but not limited to financial, personal, employment, business, or other losses, arising out of decision or actions the Client may make as a result of the services provided by the Coach. The Client and organization acknowledge that the Coach is not in the business of offering advice, medical, legal, business, or otherwise, and the Client should retain the services of a qualified professional in any area where such qualified advice is required.
Furthermore, the Coach does not provide therapy or mental health counseling. Clients with psychological or other medical problems should consult a qualified healthcare professional and disclose any such issues to the Coach. Coaching, although it shares some techniques with therapy, is not intended to be therapeutic in its design or practice. In a coaching relationship, personal and/ or professional issues may arise that are best addressed by a therapist. The coach is not a therapist and, if appropriate, may recommend that you seek therapy for such issues. The client/ I releases the coach of any liability for the services rendered in the coaching relationship. This agreement is intended for informational purposes only in a business relationship and is not a guarantee or legal agreement of performance. This Coaching Agreement is intended to clarify and establish the business framework within which we agree to work. Please read and accept this agreement via email, pay an invoice, or participate in a session to accept the terms of this Coaching Agreement. Indemnity insurance coverage is available for a fee.
